Capital market law remains fully dynamic: the entrepreneurs concerned and their advisors have been intensively concerned with numerous innovations in recent months. The market as well as the legislature, the courts and the supervisory authorities were active.

The Capital Market Law Day therefore discusses the relevant innovations for listed stock corporations that have been put into effect by the German Stock Corporation Act and the Stock Exchange Act. Both the identification of shareholders, the regime of the voting right advisors, the dealings with the issuers are addressed, and first practical experiences with related party transactions are discussed.

In administrative criminal law, two decisions have shaped the discussion of the past few months. The submission procedure of the Graz Regional Court for the high penalties against Andritz and the high penalty of the data protection authority against Post AG. Both decisions have a full impact on financial and capital market law. The consequences and legal policy conclusions for the principle of accumulation are therefore discussed at the Capital Markets Law Day.

The prospectus regime has been completely redesigned. Now only the prospectus regulation for securities is decisive, only investments are regulated in the KMG. The regulations on the prospectus are supplemented by innovations to prospectus liability and the right of withdrawal, which are decisive for the design in practice. The new administrative practice (issuer guide) on insider bans and ad hoc publicity is being critically assessed.

Finally, the day is rounded off with the new topic of sustainable finance, ie the sustainable financial market and the effects on investment regulations, fund regulations and the due diligence of the relevant bodies.
