The Limited Partnership is a fund structure that has seen increased usage by alternative managers in recent years and has been in the spotlight in recent months in particular following the updating of Ireland’s legislative and regulatory regime for Investment Limited Partnerships.
This will explore the key characteristics of Limited Partnerships and the differences to be aware of when establishing them in the leading fund domiciles of the Cayman Islands, Delaware, Jersey, Ireland and Luxembourg. Topics to be focussed on will include the requirements for General Partners, the fund formation process and timeframes, permitted fund characteristics, liability concerns and a range of other relevant practical considerations applicable when selecting a domicile for a limited partnership and operating it on an ongoing basis.
