Two recent Hong Kong cases relating to offshore borrowings by respectively Peking University Founder Group and Tsinghua Unigroup, have tested the validity and enforceability of keepwell deeds in court for the first time. Keepwell deeds are widely used in offshore financing transactions of PRC enterprises, and the implications of the judgments are significant.
