Virtual Briefing: An outlook on LBO financing in Benelux

M&A activity in the Benelux region saw EUR 18.8bn across 217 transactions in 1Q21, reaching at least EUR 10bn for the third consecutive quarter. The region recorded the highest first quarter value since 1Q18 (EUR 19.5bn), contributing 7.7% share by value and 10.6% share by deal count towards European dealmaking, both up from FY20 (7.4% and 10.5%, respectively).

The value increased by more than 4x compared to the equivalent period last year (EUR 4.2bn) with 26 more deals announced. Foreign-led investment accounted for the bulk of M&A in the region with EUR 17.2bn across 100 deals.

Private equity buyouts soared in the first three months of the year, reaching the highest quarterly value since 1Q18 (EUR 11bn) with EUR 6.4bn recorded across 48 deals, including the acquisition of UNIT4 by TA Associates Management and Partners Group Holding from Advent International Corporation for EUR 1.7bn. Exits almost doubled by value compared to the equivalent period last year reaching EUR 2.6bn with 33 deals announced.

On the financial side, Blackstone’s acquisition of Belgian industrials asset Desotec will be backed by a cov-lite unitranche from Macquarie and Blackstone Credit. The unitranche totals around EUR 320m and is priced at 5.5%. This makes the deal approximately 8x levered off a EUR 40m EBITDA.
